The guide for an entrepreneur’s registration

The guide will provide you with all the necessary information referring the registration procedure, in order to simplify and ease the first steps of the company establishment procedure (start-up of the business) to the future entrepreneurs.

When there exists a clearly and precisely defined:

·        Business idea

.        Resources (necessary and available capital)

·        Precise time line planned for the realization of the idea (project)

a business plan is created.

A business plan is an initial written document of a company referring to the longer time period; it has the internal and external use and precisely defines a schedule of all the business activities which are to be taken in the procedure of:

·        Company establishing

·        Starting up a new business undertaking or

·        Expanding the existent business activities.

In order to start or develop a particular business activity, a certain amount of financial means, that is, money, is necessary. If you do not possess enough of your own capital, you can compete for a start-up loan (loans for commencing a business) with the National Employment Agency, Development Fund- Ministry of Economy and Regional Development, Foreign Investments and Export Promotion Agency or with some of the commercial banks.

1.      Registration

Starts with a submission of a filled  unique registration application which can be obtained at the organizational units of the Business Registers Agency upon presenting  the deposit slip or you can download it free of charge from the official web site of the Business Registers Agency www.apr.gov.rs (section: entrepreneurs-forms)

Entrepreneur registration reimbursement payments should be directed to the following account: 840-29771845-59 , reference number 04.

Prior to deciding on a name, a founder – entrepreneur must check the web page of the Business Registers Agency whether an entrepreneur with a same or a similar name already operates on the city territory, where the entrepreneur will be registered. The name is not an obligatory part of the business name.

A full business name of an entrepreneur should contain the following elements:

·        Name and surname of the founder – entrepreneur

·        Addendum to the name (entrepreneurship or partners)

·        Line of work

·        Name of the entrepreneurship (not obligatory part of the business name)

·        Place and address of the business headquarters

Example: PETAR PETROVIC ENTREPRENEURSHIP, TRADE SHOP PERA, PIROT, 10 BREZA STREET

A registration application is submitted by:

·        founder – entrepreneur

·        legal representative possessing the written authorization, signed by the founder – entrepreneur and verified by the competent authority (municipality or court)

The applications can be submitted:

To the organizational unit of the Business Registers Agency, 37/I Nikola Pasic Street, Zajecar, phone: 019/ 420-360.

The necessary documentation for entrepreneur establishment

The unique registration application for the entrepreneur foundation (the procedure of submission and the amount of the reimbursement is presented throughout the previous paragraph)

·        Copy of the ID card or passport of the founder – entrepreneur

·        Deposit slip on paid reimbursement amount of 1,000.00 RSD to the account 840-969627-83  acc.to the model 97, reference number 86-04.

·        If the entrepreneur registers for performing the activity which necessitates the previous consent of the competent authority, the original document (or verified copy) issued by the competent authority needs to be submitted.

Activities which require the previous consent as a condition for the registration are as follows:

·        Health care activities (ordination, pharmacies, clinics)

·        Vet ordinations and pharmacies

·        Agricultural pharmacies

·        Taxi transport

·        Arms, arm components and munitions trade

·        Performing the activity of a general interest and communal service

·        Insurance representation activities – the registration requirement is a license issued by the National Bank on compliance of the conditions for performance of the activity in question

·        Bankruptcy administrator

·        Court experts activities – the registration requirement is a resolution on registration of permanent court experts

·        Employment agency

·        Psychological counseling

2.      Resolutions preparation

The Business Registers Agency submits to the Tax Administration data on appointing and determining of TIN and for enrolling into the unique register of tax payers. Should the conditions for TIN assignment be fulfilled, the same will be registered and included into the entrepreneur foundation. Should the conditions for TIN assignment be not fulfilled, the entrepreneur will be registered and informed to apply to the Tax Administration for the TIN assignment.

The Tax Administration will deliver the TIN assignment to the entrepreneur via post to his home address.

The Business Registers Agency, ex officio, delivers to the competent Pension and Disability Insurance Bureau an insurance application for entrepreneurs and handles the application of the taxpayer for contribution payment to the Republic Health Insurance Bureau.

The document issued by the Business Registers Agency contains ITIN and the identification number of the entrepreneur.

3.      Stamp design

The stamp is designed based on the resolution of the Business Registers Agency. The design process lasts one day and the price varies from 1,000.00 to 1,500.00 RSD and it requires only a resolution issued by the Business Registers Agency.

4.      Account opening

In order for the entrepreneur to be able to operate, it is necessary to open an account with one of the business banks. The procedure of account opening takes about ten minutes and the following is needed:

·        Business Registers Agency resolution

·        Resolution on TIN

·        Owner’s ID card

·        Stamp

·        Filled and verified form of the authorized persons (standardized representatives verified signature form – verified by the court or municipality)

·        ID cards of the authorized persons

·        Deposit slip for account opening (according to the price list of a business bank)
